  1. Conflict of interest
    1. The Contractor declares that he/she has no pecuniary interest in the business of any third party that would cause a conflict of interest or seem to cause a conflict of interest in carrying out the work. Should such an interest be acquired during the life of the contract, the Contractor shall declare it immediately to the Departmental Representative;
    2. The Contractor, its employees, agents and assigns and any other person deriving any direct benefit from this Contract shall be in compliance with the provisions of the Conflict of Interest and Post-Employment Code for Public Office Holders and the Values and Ethics Code for the Public Service;
    3. Since the Work to be conducted under this Contract may have an impact on statements of work and requests for proposals on corresponding activities, in order to avoid any conflict of interest or appearance of conflict of interest, it is understood and agreed that:
      1. The Contractor may be prohibited from bidding, either as a prime contractor or subcontractor, or to provide services as a consultant or employee to a prime contractor or subcontractor, on any contract for the supply of goods or services to be acquired on the basis of work statements deriving from the services provided by the Contractor under this Contract if Canada is of the opinion that the Contractor may have an unfair advantage or a conflict of interest; and
      2. If the Contractor or any of its representatives during the performance of the Work under this Contract prepares or assists in the preparation of statements of work, specifications or evaluation criteria to be used in requests for proposals to competitively acquire goods or services, the Contractor, the representative, any subsequent employee of the representative and any person for whom the representative is or was a consultant, shall not be eligible to bid, either as a prime contractor or a subcontractor, on these requirements and shall, if so doing, be deemed non compliant
